The registration process for an OPC is slightly more complex than a Sole Proprietorship, as it involves registering with the Ministry of Corporate Affairs (MCA). The required documents are:
Identity Proof of the Director:
Aadhar Card
PAN Card
Passport (if Aadhar is not available)
Address Proof of the Director:
Utility bill (Electricity, Water, or Gas bill) within the last 2 months
Bank statement or telephone bill in the name of the director
Business Address Proof (for Registered Office):
Utility bill (Electricity, Water, or Gas bill) within the last 2 months
Rent agreement (if business is operated from rented premises)
Property papers (if the business is run from owned property)
No Objection Certificate (NOC) from the property owner
Photographs of the Director:
Passport-size photographs of the proposed director
Digital Signature Certificate (DSC):
To sign electronic forms on the MCA portal.
Director Identification Number (DIN):
It is mandatory to obtain DIN before the registration of the OPC.
Memorandum of Association (MOA) and Articles of Association (AOA):
These legal documents outline the purpose, operations, and internal rules of the OPC.
PAN Card of the OPC:
Required for the company after registration for tax and compliance purposes.
Proof of Registered Office Address:
This document is required to verify that the business address is valid for business purposes.
Consent of Director:
Form DIR-2 (Consent to act as Director).
Declaration by the Director (Form INC-9).
Shareholder and Capital Details:
Details about the shareholder (in case there’s more than one nominee).
For an OPC, only one director is needed, but a nominee must also be appointed.
The director of the OPC must be a resident of India.
